From the establishment of a new business entity to the merger or acquisition of an existing entity, our Firm has been involved in virtually every aspect of business organizations. The Commercial and Finance Department has established literally thousands of new entities and handled the organization, re-organization and dissolution of partnerships, limited partnerships, limited liability companies and corporations. In addition, the Department uses its experience in the preparation and negotiation of stock redemption and cross purchase agreements, partnership and limited partnership agreements, operating agreements for limited liability companies or the establishment of family limited partnerships. We assist our clients in choosing not only the correct entity form, but also the best structuring of the entity for operational, management and taxation issues.
The Department has extensive experience in financing matters. Whether a client is signing a mortgage to acquire a residence or establishing a multi-million dollar line of credit with asset based securitization, our Firm has a wealth of experience. All of the attorneys in our Commercial and Finance Department have represented not only borrowers, but lending institutions as well, thus giving us the unique advantage of understanding financing transactions from both sides of the table.
On the lender's side, members of the Department have represented lenders from private investors all the way up to national lending institutions acting as conduits for instruments to be securitized on Wall Street. Members of the Department currently are, or have previously been, members of advisory boards, boards of directors, loan review committees and acted in numerous advisory capacities to financial institutions, affording us a practical understanding of financing matters that nicely complements our legal expertise.
On the borrower's side, members of the Department have experience in all aspects of finance from construction and acquisition through permanent replacement mortgages and refinancings. We have long experience representing borrowers involved in transactions from a simple commercial line of credit to multi-million dollar, multi-facility loan transactions.
In addition, the firm has represented the interests of numerous banking institutions for projects as small as reviews of residential mortgage closing packages to highly sophisticated, high dollar volume asset-based borrowing situations, as well as complex and varied real estate lending transactions.
We believe that the prompt, courteous and thorough administration of the representation of our banking clients serves to enhance the image of the particular lending institution to its customer. In view of the fact that the bank attorney is often the last person that the customer deals with in the chain of the borrowing transaction, it is a lasting and important impression that is conveyed. We believe that by delivering expeditious and cost-competitive service, we actually serve as goodwill ambassadors for the lending institution. Thus, we bring three essential elements to a lending institution in the administration of its legal matters. First and foremost, we provide quality legal services. Second, these services will be delivered on the most economical basis possible for the bank and its customers. Third, we will serve as goodwill ambassadors for the bank by accommodating the borrower and the borrower's attorney at all costs. If this means shortening the customary attorney review period to accommodate closing schedules, it will be done to ensure that the customer's final contact with the bank is as pleasant as possible.
The chair of the Commercial, Finance and Banking Department and Firm Managing Partner Jerold L. Zaro was himself a founding stockholder and Chairman of the Board of Ocean Independent Bank and a Director of First DeWitt Bank. He now serves as a Director of Commerce Bank/Shore, N.A.
